Valeria is a business lawyer. Holding a Master's in Business Law, she advises companies, investors, family groups, and individuals on the decisions that define how a business is organized, financed, and protected: how a company is incorporated, who decides what, how shareholders enter and exit, what secures the credit, and what happens when the relationship breaks down. She intervenes early, when the right structure can still be chosen, not when the only option is to manage the damage.

In corporate matters, she handles incorporations, reorganizations, capital increases, share transfers, and the appointment of management bodies, and orders the company's internal governance — shareholder agreements, powers of representation, minutes, and corporate books — so that decisions are enforceable. The contract is the tool through which she executes that strategy: she drafts and negotiates commercial, civil, and labor agreements with particular attention to the clauses that only get read when something goes wrong, and when an agreement breaks down she formulates extrajudicial demands and defines the enforcement strategy.

A company's relationship with the State is also central to her practice. She handles the formalization and ongoing administrative life of her clients: tax and municipal registrations, operating permits, establishment openings and relocations, sector-specific licenses, health registrations, civil associations, trademarks, and government procurement, as well as the procedures individuals need to organize their personal and documentary situation.

Before structuring, she diagnoses: she conducts legal and asset due diligence and issues opinions on corporate, labor, regulatory, and title contingencies, so the client knows the true liability of what they are about to buy, finance, or guarantee. In banking, she structures and formalizes personal and corporate loans together with their security interests. She incorporates legal tech and artificial intelligence tools into contract analysis and document management, and dedicates time to university teaching and the training of legal and executive teams.
